BOARD OF DIRECTORS

As provided in the Articles of Incorporation, the activities and affairs of the Association shall be managed by the Board of Directors, provided, however, that the Board of Directors shall not exercise any power or authority conferred in the Declaration, the Article of Incorporation or by the Act upon the Members. Among other things, the Board of Directors shall have the power to suspend the enjoyment rights of any Member for any period during which any assessment due by said Member remains unpaid; and to adopt and enforce Rules and Regulations relating to the conduct of the Members and their invitees and aesthetic considerations pertaining to the Subdivision, and to suspend the enjoyment rights of any Member for a period not to exceed thirty (30) days for any infraction of the Association’s Rules and Regulations.

The Board of Directors may not act on behalf of the Association to amend the Declaration or the Articles of Incorporation or to elect members of the Board or to determine the qualifications, powers and duties, or terms of office of Board members, but the Board may fill vacancies in its membership for the unexpired portion of any term.

The Board of Directors and Officers will act as the Architectural Committee until which time a Committee shall be appointed. All submittals and requests of Committee shall be in writing by email to hunterscovehoa@gmail.com or by 1st  class mail to P.O. Box 190913 Mobile, AL 36619. The Committee is responsible for and must approve all variances or changes to the exterior of any home, including landscaping, remodeling, fences, additions, etc.

OFFICERS

President — John Wilkinson

The President shall be the chief executive officer of the Association, and, subject to the control of the Board of Directors, shall in general supervise and control all of the business and affairs of the Association.  They shall, when present, preside at all meetings of the Members and of the Board of Directors.  They may sign, with the Secretary or any other proper officer of the Association thereunto authorized by the Board of Directors, contracts, notes, mortgages, deeds or other instruments in behalf of the Association, which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors to some other officer or agent of the Association, or shall be required by law to be otherwise signed or executed; and in general shall perform all duties incident to the office of president and such other duties as may be prescribed by the Board of Directors from time to time.

 

Vice‑President  — Jason Robertson  

In the absence of the President or in the event of their death, inability or refusal to act, the Vice‑President shall perform the duties of the President, and when so acting, shall have all of the powers of and be subject to all of the restrictions upon the President.  The Vice‑President shall perform such other duties as from time to time may be assigned to them by the President or by the Board of Directors.

 

Secretary — Janet Clark

The Secretary shall keep the minutes of the proceedings of the Members and of the Board of Directors on the Association’s laptop computer provided for that purpose; see that all notices are duly given in accordance with the provisions of the ByLaws or as required by law; be custodian of the corporate records., the execution of which on behalf of the Association under its seal is duly authorized; keep a register of the post office address of each Member which shall be furnished to the Secretary by such Member; and in general perform all duties incident to the office of secretary and such other duties as from time to time may be assigned to them by the President or by the Board of Directors.

 

Treasurer — Kimela Avery (Interim)

The Treasurer shall have charge and custody of and be responsible for all funds and securities of the Association; receive monies due and payable to the Association from any source whatsoever, and deposit all such monies in the name of the Association in such banks, trust companies or other depositaries as shall be designated by the Board of Directors; and in general perform all of the duties incident to the office of treasurer and such other duties as from time to time may be assigned to them by the President or by the Board of Directors. If required by the Board of Directors, the Treasurer shall give a bond for the faithful discharge of his duties in such sum and with such surety or sureties as the Board of Directors shall determine.
